Codex Digital reserve the right to revise any proposal if it is returned more than four (4) weeks from this proposal creation date. All figures unless otherwise specified exclude GST.
This document contains information confidential to Codex Digital, which is provided for the sole purpose of enabling the client or prospective client to evaluate this proposal.
The client agrees to maintain such information in confidence and not reproduce or otherwise disclose this information to any person not directly responsible for evaluation of its contents.
Codex Digital issues non-milestone invoices on 30 day terms. Should any invoice remain unpaid past 60 days, we reserve the right to cease all development until the full balance of the account has been paid.
If you have an issue with an item on an invoice, you agree to notify accounts@ codexdigital.com.au in writing within 14 days and to pay the items not in dispute. Codex Digital will make every effort to resolve the issue with you promptly.
All information to be included within the website or system must be provided by the client in full in digital format prior to commencement of development (format to be specified by Codex Digital).
It is the client’s responsibility to ensure information supplied is accurate, complete and not misleading.
We will not seek to verify the information you provide to us and you agree to notify us if the information changes in a material way or affects the delivery of our services to you.
Any quote provided to you is based on the information you provide and may need to be revised or updated if you advise us of a change in the information initially provided
Copyright clearance for text, images and files supplied to Codex Digital by the client is the responsibility of the client.
Codex Digital will recommend a level of security based on the client’s requirements, however we cannot take responsibility for any security breaches or malicious attacks. A specialist third party security provider can be referred on request.
If the project is terminated, Codex Digital will invoice for work completed up to and including the date of termination. All milestone or progress payments invoiced to date are non-refundable.
Codex Digital reserves the right to charge for any additional work carried out that is not specified in this proposal. Any additional work carried out will be calculated and quoted on a job by job basis.
If an ongoing development and support package is not selected, all support time and work requested by the client will be charged at Codex Digital’s standard hourly rate.
Unless otherwise specified within this document, the first half of the total amount is to be paid prior to development work commencing. Payment of the remaining half is to be made on development completion and prior to delivery.
Invoices for milestones during a project will be provided by Codex Digital when a milestone is met, or approved (where approval is required).
Payment terms for milestones are fourteen (14) business days. If payment is not received by Codex Digital within this time, we reserve the right to stop development until full payment has been received by us.
If you select a website and email hosting package that does not include website or email backups, Codex Digital will not be held responsible for the loss of data or damage caused to your business. You agree to pay the standard hourly rate to fix, restore or try to recover the lost information or data.
No guarantee is given to you that information or data which has been lost can be recovered.
Codex Digital will provide bug fixing services to you at no cost if the software or product does not perform their individual duties as stated in this document.
The client agrees to indemnify Codex Digital against any liability (including legal costs) that we incur in connection with any claim by a third party arising from your breach of this agreement, or that arise as a result of access to the website or system or the use of the information it contains.
If you wish to cancel your services with Codex Digital, it must be made in writing and one (1) months’ notice is required. All invoices due will remain and files of yours will be retained by Codex Digital until the arrears have been corrected.
